1. General

All services that are provided by Extreme Corals are exclusively on the basis of the following terms and
conditions. Different rules are only valid if they were agreed between the shop and the customer.

2. Agreement between Fauna Marin GmbH and Customer

2.1 The offers displayed on our online shop, represent a noncommittal request for the customers to order from
our online shop.

2.2 When ordering desired goods from us, the customer agrees to conclude a sales contract and pay for all
ordered goods.

2.3 After placing an order, you will automatically receive an order confirmation via email from our online shop.
An order confirmation or confirmation via telephone order make no legal transaction acceptance on our part.
The offer acceptance by us will only be by bringing to you the goods for shipment.

3. Revocation

Withdrawal
You have the right to withdraw within 14 days without needing to give a reason. The withdrawal period shall be

Withdrawal Terms

If you withdraw from this contract, we will reimburse all payments received by you, including the costs of supply

on which the notification has been received through your cancellation of this contract with us. For this

despatched before the deadline of a fortnight.

You are responsible for the cost of returning the goods and paying for any diminished value of the goods.

4. Delivery

4.1 All items are immediately available from stock when delivered.
The delivery takes place both within Germany and in EU countries.

4.2 The delivery time within Germany is, unless otherwise specified in the offer, a maximum of 5 working days.
Delivery will be made within 2 working days (Monday to Friday, except public holidays) after we receive
payment to the referring bank (payment in advance) or after the conclusion (in cash or by invoice). For
international deliveries, the delivery period unless the offer otherwise indicated, a maximum of 14 working days.
Delivery will be made so at the latest within 2 working days (Monday to Friday, except public holidays) after we

4.3 If an item is not available, we will inform you by e-mail and provide you with an expected delivery time,

4.4 Neighbourly package assuming package diversions and garage contracts with the delivery service, we

4.5 Clients from Switzerland and all other countries outside the European Union should be aware that
country-specific duties may still be collected. Please check with your local customs office for expected customs
duties costs.

5. Packaging and shipping costs

5.1 We offer the following shipping methods: UPS standard, UPS Express Saver, DHL

5.2 For delivery within Germany and packaging costs, we calculate the conditions laid down in the offer
shipping price. For each order, the shipping costs are displayed and communicated separately.

5.3 For orders of Hartware with an order over 50 EUR receive FREE shipping within Germany. This excludes
live animals orders, which will be shipped free shipping for orders above 200 EUR. Unforeseen obstacles to
delivery entitle us to enter fully or partially from the obligation to deliver back. Liability for damage caused by
delay in delivery are excluded. Delivery in foreign countries is carried out only against prepayment or credit
card. In countries of the EC valid in Germany include VAT, unless we receive any USt.ID No.. In all other
countries we deliver without VAT.

There are no shipping charge schemes for international deliveries.

6. Payment, Retention of Title

6.1 All prices are gross prices in Euro, which include the VAT of 19% and 7% respectively. There valid on the

6.3 Delivered goods remain as our property until full payment is received. (property pursuant to § § 158, 449
BGB). About execution activities in the reserved goods, the customer shall immediately inform and hand over

7. Warranty

General Payment and Delivery

§1. General

1.1 The following conditions apply to all our offers, sales, deliveries and services and contents of the contract.
They do not apply if the contracting party is a private individual, not a professional or commercial buyer. They
also apply to all future business relations, even if they are not expressly agreed again.

1.2 Any deviating or supplementary terms and conditions of the buyer we hereby expressly reject. They also do
not apply if the purchaser has it based its order or other declaration.

§2 Offers and orders

2.1 Our offers are not binding, unless mentioned in writing. An effective contract comes into existence only with
our order confirmation or delivery of the goods.
2.2 Dimensions, weights, illustrations, drawings and other documents, which belong to our non-binding offers,
remain our property and are only approximately authoritative. Only if express written confirmation from us they
can be binding contractual content.

§3 Doubtful solvency

3.1 If after conclusion of the contract circumstances giving rise to doubts about the solvency of the buyer, we
can make further deliveries dependent on advance payment of the goods by the purchaser. We can set the
purchaser for the advance payment of the goods a reasonable period and to withdraw from the contract if the
advance payment is not received by us within the prescribed period; the buyer can afford security by bank
guarantee instead of cash advance. If we have already delivered the goods, the purchase price is regardless of

§5 Delivery time

§6 Shipping

6.1 Shipping is at the expense of the buyer. We are not responsible for damages that occur during shipping to

we are not obliged to provide transport insurance.

6.2 Unless expressly agreed otherwise in writing, we are entitled to partial deliveries to a reasonable extent,
which are calculated separately.

§7 Payment

7.1 Our invoices are payable within 7 days from the invoice date.

7.2 If the purchaser fails to pay the purchase price within 7 days after the due date, receipt of the invoice, or
equivalent payment schedule, the account will default.

7.3 If the purchaser is in default of payment, to all of its payment obligations under the business relationship
with us – including those that have been given for the change – payment will be due immediately. In this case
we are entitled to demand of the time in question to interest at the amount set by law. The proof of higher
damages by the seller shall be reserved.

7.4 Bills of exchange are accepted on account of performance only by prior arrangement and at discount
capability without granting a cash discount. Also payments by check / bill of exchange will only be accepted on
account of performance. The purchase price claim expires only after full redemption of the exchange.
Exchange and discount charges will be charged separately and are to be paid immediately without any
deduction.

7.5 The purchaser is entitled to offset, even if complaints or counterclaims are made valid, only if the
counterclaims have been legally established, recognized by the seller or are undisputed. To exercise a lien, the
buyer is only authorized if its counterclaim is based on the same purchase contract.

§8 Warranty / Liability

8.1 The buyer must examine the goods received for completeness, transport damages, obvious defects,
condition and their properties. Obvious defects must be notified in writing by the buyer within 1 day from the
delivery of the contractual object towards us.

8.2 We are not obligated to provide warranty if the buyer has an obvious defect not reprimanded in writing in
good time. If there is a justifiable one of us lack in the goods and was reprimanded by the buyer in good time in
writing, we are – under exclusion of rights of the buyer from the contract or reduce the purchase price – for

8.9 Any further liability is excluded regardless of the legal nature of the asserted claim. As far as the seller’s

§ 9 Retention of title

entitled to sue the purchaser at his general jurisdiction.

Allgemeine Zahlungs- und Lieferbedingungen

§1 Allgemeines

1.1    Die nachfolgenden Bedingungen haben Gültigkeit für alle unsere Angebote, Verkäufe, Lieferungen und Leistungen und werden Inhalt des Vertrages. Sie gelten nicht, wenn unser Vertragspartner eine Privatperson ist und nicht beruflich oder gewerblich handelt. Sie gelten auch für alle künftigen Geschäftsbeziehungen, auch wenn sie nicht noch einmal ausdrücklich vereinbart werden.

1.2    Abweichenden oder ergänzenden Allgemeinen Geschäftsbedingungen des Käufers widersprechen wir hiermit ausdrücklich. Sie gelten auch dann nicht, wenn der Käufer sie seiner Bestellung oder sonstigen Erklärung zugrunde gelegt hat.

§2 Angebote und Aufträge

2.1    Unsere Angebote sind frei bleibend, sofern sie nicht in schriftlicher Form als verbindlich bezeichnet sind. Ein wirksamer Vertrag kommt daher erst durch unsere Auftragsbestätigung oder die Auslieferung der Ware zustande.

2.2    Maßangaben, Gewichte, Abbildungen, Zeichnungen sowie andere Unterlagen, die zu unseren unverbindlichen Angeboten gehören, bleiben in unserem Eigentum und sind nur annähernd Maß gebend. Nur bei ausdrücklicher schriftlicher Bestätigung durch uns können sie verbindlicher Vertragsinhalt werden.

§3 Zweifelhafte Zahlungsfähigkeit

3.1    Werden uns nach Vertragsschluss Umstände bekannt, die Zweifel an der Zahlungsfähigkeit des Käufers begründen, können wir weitere Lieferungen von einer Vorauszahlung der Ware durch den Käufer abhängig machen. Wir können dem Käufer für die Vorauszahlung der Ware eine angemessene Frist setzen und vom Vertrag zurücktreten, wenn die Vorauszahlung nicht fristgemäß bei uns eingeht; der Käufer kann statt der Vorauszahlung Sicherheit durch Bankbürgschaft leisten. Haben wir die Ware bereits geliefert, so wird der Kaufpreis ungeachtet vereinbarter Zahlungsfristen sofort ohne Abzug fällig.

3.2    Zweifel an der Zahlungsfähigkeit des Käufers sind unter anderem dann begründet, wenn ein Antrag auf Eröffnung des Insolvenzverfahrens über sein Vermögen gestellt wurde oder er Zahlungen an uns oder Dritte nicht pünktlich leistet.

§4 Preise

4.1    Unsere Preise gelten „ab Werk“ sofern keine abweichende Vereinbarung mit dem Käufer getroffen wurde. Die Verpackungskosten sind nicht in dem Preis enthalten.

4.2    Die gesetzliche Mehrwertsteuer ist in unseren Preisen nicht eingeschlossen und wird in der am Tag der Rechnungsstellung gesetzlich geltenden Höhe in der Rechnung gesondert ausgewiesen.

4.3    Liegen zwischen dem Tag des Vertragsschlusses und dem Tag der Lieferung mehr als 4 Monate, ohne dass dies auf einer von uns zu vertretenden Lieferverzögerung beruht, und hat sich in dieser Zeit unsere gültige Preisliste geändert, so können wir anstelle des vereinbarten Kaufpreises den am Tag der Lieferung gültigen Listenpreis verlangen. Wir werden dem Käufer vor der Lieferung eine entsprechend geänderte Auftragsbestätigung übermitteln. Der Käufer kann in diesem Fall hinsichtlich der Waren, für die der Preis erhöht worden ist, von seiner Bestellung zurücktreten. Er muss den Rücktritt spätestens am 7. Werktag nach Erhalt der geänderten Auftragsbestätigung schriftlich erklären:

§5 Lieferzeit

5.1    Alle genannten Liefertermine sind unverbindlich und gelten als nur annähernd vereinbart, soweit sie nicht von uns ausdrücklich als verbindlich bezeichnet worden sind. Bei unverbindlichen Lieferterminen gilt eine Lieferung innerhalb 7 Tage nach der angegebenen Lieferzeit auf jeden Fall noch als rechtzeitig.

5.2    Falls wir schuldhaft eine ausdrücklich vereinbarte Frist nicht einhalten können oder aus sonstigen Gründen in Verzug geraten, hat uns der Käufer eine angemessene Nachfrist zu gewähren, die mit 7 Tagen beginnt. Nach fruchtlosem Ablauf dieser Nachfrist ist der Käufer berechtigt, vom Vertrag zurückzutreten.

5.3    Wird uns die Leistung aufgrund höherer Gewalt oder aus anderen außergewöhnlichen und unverschuldeten Umständen ganz oder teilweise vorübergehend unmöglich oder erheblich erschwert, so verlängert sich die vereinbarte Lieferzeit um die Dauer des Leistungshindernisses. Gleiches gilt für eine gesetzliche oder vom Käufer gesetzte Frist für die Leistungserbringung, insbesondere für Nachfristen bei Verzug.

5.4    Vor Ablauf der gemäß Absatz 3 verlängerten Lieferzeit bzw. Leistungsfrist ist der Käufer weder zum Rücktritt noch zum Schadensersatz berechtigt. Dauert das Leistungshindernis länger als 8 Wochen an, sind sowohl der Käufer als auch wir zum Rücktritt berechtigt, soweit der Vertrag noch nicht durchgeführt ist. Ist der Käufer vertraglich oder gesetzlich (z.B. wegen Interessewegfall) ohne Nachfristsetzung zum Rücktritt berechtigt, so bleibt dieses Recht unberührt.

5.5    Bei einem etwaigen Lieferverzug, soweit er nicht auf Vorsatz oder grober Fahrlässigkeit beruht, sind Schadensersatzansprüche jeder Art ausgeschlossen.

§6 Versand

6.1    Der Versand erfolgt auf Rechnung des Käufers. Die Gefahr geht mit der Verladung der Ware auf ihn über, auch wenn frachtfreie Lieferung vereinbart ist und/oder der Versand mit unseren eigenen Fahrzeugen erfolgt. Wir sind nicht verpflichtet, für eine Transportversicherung zu sorgen.

6.2    Sofern nicht ausdrücklich schriftlich etwas anderes vereinbart wurde, sind wir zu Teillieferungen in zumutbarem Umfang berechtigt, die einzeln berechnet werden.

§7 Zahlung

7.1    Unsere Rechnungen sind innerhalb von 7 Tagen ab Rechnungsdatum ohne Abzug zu zahlen.

7.2    Der Käufer kommt auch ohne eine Mahnung unsererseits in Verzug, wenn er den Kaufpreis nicht innerhalb von 7 Tagen nach Fälligkeit und Zugang der Rechnung oder einer gleichwertigen Zahlungsaufstellung zahlt.

7.3    Gerät der Käufer mit einer Zahlung in Verzug, werden seine sämtlichen Zahlungsverpflichtungen aus der Geschäftsverbindung mit uns – auch solche, für die Wechsel gegeben worden sind – sofort fällig. In diesem Fall sind wir berechtigt, von dem betreffenden Zeitpunkt an Zinsen in gesetzlich festgelegter Höhe zu verlangen. Der Nachweis eines höheren Schadens durch den Verkäufer bleibt vorbehalten.

7.4    Wechsel werden nur nach vorheriger Vereinbarung und bei Diskont-Fähigkeit ohne Gewährung eines Skontos erfüllungshalber angenommen. Auch Zahlungen im Scheck-/Wechselverfahren werden nur erfüllungshalber angenommen. Der Kaufpreisanspruch erlischt erst nach vollständiger Einlösung der Wechsel. Wechsel- und Diskontspesen werden gesondert berechnet und sind ohne Abzug sofort zu zahlen.

7.5    Der Käufer ist zur Aufrechnung, auch wenn Mängelrügen oder Gegenansprüche geltend gemacht werden, nur berechtigt, wenn die Gegenansprüche rechtskräftig festgestellt, von dem Verkäufer anerkannt wurden oder unstreitig sind. Zur Ausübung eines Zurückbehaltungsrechts ist der Käufer nur befugt, wenn sein Gegenanspruch auf demselben Kaufvertrag beruht.

§8 Gewährleistung/Haftung

8.1    Der Käufer hat die empfangene Ware auf Vollständigkeit, Transportschäden, offensichtliche Mängel, Beschaffenheit und deren Eigenschaften zu untersuchen. Offensichtliche Mängel sind von dem Käufer innerhalb von 1 Tag ab Ablieferung des Vertragsgegenstandes schriftlich uns gegenüber zu rügen.

8.2    Wir sind nicht zur Gewährleistung verpflichtet, wenn der Käufer einen offensichtlichen Mangel nicht rechtzeitig schriftlich gerügt hat. Soweit ein von uns zu vertretender Mangel an der Ware vorliegt und von dem Käufer rechtzeitig schriftlich gerügt wurde, sind wir – unter Ausschluss der Rechte des Käufers von dem Vertrag zurückzutreten oder den Kaufpreis herabzusetzen – zur Nacherfüllung verpflichtet, es sei denn, dass wir aufgrund der gesetzlichen Regelung zur Verweigerung der Nacherfüllung berechtigt sind. Der Käufer hat uns für jeden einzelnen Mangel eine angemessene Frist zur Nacherfüllung zu gewähren.

8.3    Die Nacherfüllung kann nach der Wahl des Käufers durch Beseitigung des Mangels oder Lieferung einer neuen Ware erfolgen. Wir sind berechtigt, die von dem Käufer gewählte Art der Nacherfüllung zu verweigern, wenn sie nur mit unverhältnismäßigen Kosten verbunden ist. Während der Nacherfüllung sind die Herabsetzung des Kaufpreises oder der Rücktritt vom Vertrag durch den Käufer ausgeschlossen. Eine Nachbesserung gilt mit dem zweiten vergeblichen Versuch als fehlgeschlagen. Ist die Nacherfüllung fehlgeschlagen oder hat der Verkäufer die Nacherfüllung insgesamt verweigert, kann der Käufer nach seiner Wahl Herabsetzung des Kaufpreises (Minderung) verlangen oder den Rücktritt vom Vertrag erklären.

8.4    Schadensersatzansprüche zu den nachfolgenden Bedingungen wegen des Mangels kann der Käufer erst geltend machen, wenn die Nacherfüllung fehlgeschlagen ist oder die Nacherfüllung von uns verweigert wird. Das Recht des Käufers zur Geltendmachung von weitergehenden Schadensersatzansprüchen zu den nachfolgenden Bedingungen bleibt davon unberührt.

8.5    Für vorsätzliche oder grob fahrlässige Pflichtverletzungen sowie für Schäden aus einer Verletzung des Lebens, des Körpers oder der Gesundheit haften wir uneingeschränkt nach den gesetzlichen Vorschriften. Im Übrigen haften wir nur, wenn die verletzte Vertragspflicht für das Erreichen des Vertragszwecks erkennbar von wesentlicher Bedeutung ist, und nur begrenzt bis zur Höhe des typischerweise vorhersehbaren Schadens.

8.6    Die Haftungsbeschränkung nach Absatz 5 gilt entsprechend für andere als vertragliche Schadensersatzansprüche, insbesondere Ansprüche aus unerlaubter Handlung, mit Ausnahme der Ansprüche nach dem Produkthaftungsgesetz. Sie gilt ferner auch zugunsten unserer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen.

8.7    Soweit wir bezüglich der Ware oder Teile derselben eine Beschaffenheits- und/oder Haltbarkeitsgarantie abgegeben hat, haften wir auch im Rahmen dieser Garantie. Für Schäden, die auf dem Fehlen der garantierten Beschaffenheit oder Haltbarkeit beruhen, aber nicht unmittelbar an der Ware eintreten, haften wir allerdings nur dann, wenn das Risiko eines solchen Schadens ersichtlich von der Beschaffenheits- und Haltbarkeitsgarantie erfasst ist.

8.8    Wir haften auch für Schäden, die durch einfache Fahrlässigkeit verursacht werden, soweit diese Fahrlässigkeit die Verletzung solcher Vertragspflichten betrifft, deren Einhaltung für die Erreichung des Vertragszwecks von besonderer Bedeutung ist (Kardinalpflichten). Wir haften jedoch nur, soweit die Schäden in typischer Weise mit dem Vertrag verbunden und vorhersehbar sind. Bei einfachen fahrlässigen Verletzungen nicht vertragswesentlicher Nebenpflichten haften wir im Übrigen nicht. Die in §7 enthaltenen Haftungsbeschränkungen gelten auch, soweit die Haftung für die gesetzlichen Vertreter, leitenden Angestellten und sonstigen Erfüllungsgehilfen des Verkäufers betroffen ist.

8.9    Eine weitergehende Haftung ist ohne Rücksicht auf die Rechtsnatur des geltend gemachten Anspruchs ausgeschlossen. Soweit die Haftung des Verkäufers ausgeschlossen oder beschränkt ist, gilt dies auch für die persönliche Haftung seiner Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen.

§9 Eigentumsvorbehalt

9.1 Wir behalten uns das Eigentum an der Ware vor (Vorbehaltsware), bis zum Eingang aller Zahlungen aus dem Kaufvertrag. Die gelieferten Waren gehen erst dann in das Eigentum des Käufers über, wenn dieser seine gesamten Verbindlichkeiten aus der Geschäftsverbindung einschließlich Nebenforderungen und Schadensersatzansprüchen.

9.2    Der Käufer hat uns von allen Zugriffen Dritter, insbesondere von Zwangsvollstreckungsmaß-nahmen sowie sonstigen Beeinträchtigungen seines Eigentums unverzüglich schriftlich zu unterrichten. Der Käufer hat uns alle Schäden und Kosten zu ersetzen, die durch einen Verstoß gegen diese Verpflichtung und durch erforderliche Maßnahmen zum Schutz gegen Zugriffe Dritter entstehen.

9.3    Kommt der Käufer seiner Zahlungsverpflichtung trotz einer Mahnung unsererseits nicht nach, so können wir die Herausgabe der noch in seinem Eigentum stehenden Vorbehaltsware ohne vorherige Fristsetzung verlangen. Die dabei anfallenden Transportkosten trägt der Käufer. In der Pfändung der Vorbehaltssache durch uns liegt stets ein Rücktritt vom Vertrag. Wir sind nach Rückbehalt der Vorbehaltsware zu deren Verwertung befugt. Der Verwertungserlös wird mit unseren offenen Forderungen aufgerechnet.

§10 Erfüllungsort

Der Erfüllungsort für Zahlungen ist der Geschäftssitz der Fauna Marin GmbH, für unsere Warenlieferungen der Versandort.

§11 Datenverarbeitung

Der Käufer ist damit einverstanden, dass wir die im Zusammenhang mit der Geschäftsbeziehung erhaltenen Daten über den Käufer unter Beachtung des Bundesdatenschutzgesetzes für die Erfüllung eigener Geschäftszwecke verarbeiten, insbesondere speichern oder an eine Kreditschutzorganisation übermitteln, soweit dies im Rahmen der Zweckbestimmung des Vertrages erfolgt oder zur Wahrung unserer berechtigten Interessen erforderlich ist und kein Grund zu der Annahme besteht, dass das schutzwürdige Interesse des Käufers an dem Ausschluss der Verarbeitung, insbesondere der Übermittlung, dieser Daten überwiegt.

§12 Gerichtsstand und anzuwendendes Recht

12.1    Für das Vertragsverhältnis zwischen dem Käufer und uns gilt ausschließlich das Recht der Bundesrepublik Deutschland, auch wenn der Käufer seinen Wohn- oder Geschäftssitz im Ausland hat. Die Anwendung des einheitlichen Gesetzes über den internationalen Kauf beweglicher Sachen sowie des Gesetzes über den Abschluss von internationalen Kaufverträgen über bewegliche Sachen ist ausgeschlossen.

12.2    Der Käufer ist nicht berechtigt, Ansprüche aus dem Kaufvertrag ohne Einwilligung der Verkäufers abzutreten.

12.3    Ist der Käufer Kaufmann, juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen, so ist Gerichtsstand für beide Teile der Geschäftssitz der Fauna Marin GmbH Böblingen Bundesrepublik Deutschland . Wir sind jedoch auch berechtigt, den Käufer an seinem allgemeinen Gerichtsstand zu verklagen.
